Interim Dividend Declaration

Translation August 9, 2006 Subject : To inform the Board of Directors' resolution No. 5/2006 To : Director and President The Stock Exchange of Thailand The Board of Directors' Meeting of Siam Makro Public Company Limited No. 5/2006 held on August 9, 2006 made the following resolutions: - 1. The meeting unanimously resolved to approve the Company to declare the interim dividend from the net profit after tax during 1 January 2006 through 30 June 2006 to all shareholders of the Company at Baht 1.50 per share, totalling Baht 360,000,000 for the total number of 240,000,000 shares without appropriating an additional legal reserve as the amount of the Company's legal reserve is already in compliance with the law. The payment of dividend will be made on September 6, 2006. 2. The meeting unanimously resolved to close the registry of shareholders for share transfer as of 12.00 hours on August 24, 2006 to determine the shareholders' right to receive the payment of interim dividend.
