NOTIFYING ON FORMATION OF SIAM MAKRO HOLDING (THAILAND) LTD.

(Translation) 16 August 2001 Subject : Notifying on formation of Siam Makro Holding (Thailand) Ltd. as a result of the amalgamation of major shareholders To : Governors and President of Stock Exchange of Thailand ("SET") With reference to the notification of Siam Makro Public Company Limited (the "Company") to the SET on 11 August 2000 regarding the amalgamation of, the Company's major shareholder, Makro Holding (Thailand) Ltd. ("MHT") and Holms Green Co., Ltd. ("HG"), one of the Company shareholders, without any change of the control nor the substantial change in the Board of Director and executive of the Company since MHT and HG are related persons having the same major shareholder, namely Orkam Holding Asia N.V. ("OHA"), also being one of the Company's shareholders. The Company has been informed by Siam Makro Holding (Thailand) Ltd. ("SHT") that MHT and HG have already registered the amalgamation with each others and set up SHT, a new company, as at 10 August 2001. SHT's registered capital is the inclusive amount of MHT's and HG's registered capital. MHT's and HG's shareholders have become SHT's shareholders. MHT and HG have automatically been extinguished. SHT has been entitled to the rights and subject to the liabilities of HG and MHT including the acquisition of shares in Siam Makro Public Company Limited in accordance with the law.
