Notification on Acquistion of Siam Food Services Limited

(Translation) December 30, 2004 Subject : Notification on Acquisition of Siam Food Services Limited To : The President The Stock Exchange of Thailand In light of the proposed acquisition of 100% shares by the Company of Siam Food Services Limited ("Siam Food") from Diethelm Trading Co., Ltd. and all other shareholders (the "Proposed Acquisition") as previously approved by the resolutions of the Board of Directors' Meeting No. 5/2004 held on 29 November 2004, the Extraordinary General Meeting of Shareholders of the Company No. 1/2004 held on 29 December 2004 has adopted the resolution to approve the Proposed Acquisition. The Company subsequently entered into the Share Purchase Agreement with Diethelm Trading Co., Ltd. and successfully completed the Proposed Acquisition on 30 December 2004. Thus, Siam Food effectively became a wholly-owned subsidiary of the Company from the beginning of financial year 2005. Please be informed accordingly.
