NOTIFYING ON THE AMALGAMATION OF MAJOR SHAREHOLDERS

(Translation) 11 August 2000 Subject : Notifying on the amalgamation of major shareholders To : Governors and President of Stock Exchange of Thailand ("SET") Siam Makro Public Company Limited (the "Company") has been informed by Makro Holding (Thailand) Ltd., a major shareholder of Siam Makro Public Company Limited that on 11 August 2000, the Company's major shareholder, Makro Holding (Thailand) Ltd., holding 37.54% shares in the Company adopted special resolution to amalgamate Makro Holding (Thailand) Ltd. with Holms Green Co., Ltd., one of the Company shareholders holding 7.66% shares. On the same date, Holms Green Co., Ltd. also adopted special resolution to amalgamate Holms Green Co., Ltd. with Makro Holding (Thailand) Ltd. Both Makro Holding (Thailand) Ltd. and Holms Green Co., Ltd. are related persons since they have the same major shareholder, namely Orkam Holding Asia N.V., holding 5.8% shares in Siam Makro Public Company Limited. As a result, the amalgamation between Makro Holding (Thailand) Ltd. and Holms Green Co., Ltd. will not cause any change of the control nor the substantial change in the Board of Directors and executive of the Company.
