INFORMATION ON CONNECTED TRANSACTION BY THE SUBSIDIARY

Siam Makro Public Company Limited Information Memorandum on Connected Transaction by the Subsidiary The Board of Directors of Makro Properties Limited (a subsidiary company of Siam Makro Public Company Limited) has resolved in the meeting held on June 7, 2000 to buy the land from Charoen Pokphand Industry Company Limited. Details are as follows: 1. Date, month and year of transaction : June 7, 2000 2. Related parties : Buyer : Makro Properties Limited. Seller : Charoen Pokphand Industry Company Limited. Relationship between Buyer and Seller : Buyer is a subsidiary company of Siam Makro Public Company Limited and Seller is a subsidiary company of Charoen Pokphand Foods Public Company Limited. Charoen Pokphand Foods Public Company Limited is a major shareholder of Siam Makro Public Company Limited by holding the shares through related persons as mention in clause 5. 3. Nature of transaction : Makro Properties Limited will buy the land which is located on Petchkasem Road, Prongmadua (Lampaya) Sub-district, Muang Nakornprathom (Pra-prathomjedee) District, Nakornprathom Province covering land area of 33 rai 1 ngan 52 square wah with the total amount of Baht 108,485,000 from Charoen Pokphand Industry Company Limited in order to lease to Siam Makro Public Company Limited for its new store operation. Type of transaction : The transaction is the connected transaction according to the Notification of the Stock Exchange of Thailand on the Rules, Procedures and Disclosure of Connected Transactions of Listed Companies but is not the transaction in the scope of the Rules, Procedures and Disclosure of Information Concerning the Acquisition and Disposition of Assets of Listed Companies. Volume of transaction : More than 0.03% but less than 3% of the book value of net tangible assets of the latest reviewed consolidated financial statements as at March 31, 2000 of Siam Makro Public Company Limited. 4. Total value of transaction and payment term : The total payment of the price shall be made in one lump sum in the sum of Baht 108,485,000 which shall be paid by Makro Properties Limited on the date of actual registration of transfer of the ownership of the above mention land. Total value of transaction is equal to Baht 108,485,000 on which the price is based on the market price. The Buyer and Seller can negotiate on such price independently. 5. Nature and scope of interest of connected person in the transaction : Charoen Pokphand Foods Public Company Limited is a connected person of Siam Makro Public Company Limited. It therefore has interest in the transaction as mention in clause 3 as the Seller is a subsidiary company in which Charoen Pokphand Foods Public Company Limited holds 99.99% stake and the Buyer is a subsidiary company in which Siam Makro Public Company Limited holds 99.99% stake. By this Charoen Pokphand Foods Public Company Limited is a major shareholder of Siam Makro Public Company Limited by holding the shares through related persons namely CPF Investment Limited, C.P. Merchandising Company Limited, Bangkok Produce Merchandising Public Company Limited and Bangkok Agro-Industrial Products Public Company Limited. Signed ............... Director Signed ...............
