ANNUAL GENERAL MEETING AND DIVIDEND PAYMENT

Translation March 8, 2000 Subject : To inform the Board of Directors' resolution No.1/2000 To : Director and Manager Stock Exchange of Thailand The Board of Directors' Meeting of Siam Makro Public Company Limited No. 1/2000 held on March 8, 2000, during 2.00 - 3.30 p.m. made the following resolutions: - 1. The Company declare dividend payment of Baht 300,000,000 representing 40.8% of the net profit before an adjustment of a provision for an impairment of a property or 52.5% of the net profit for the year. Dividend per share is Baht 1.25 and such declaration of dividend be proposed to the shareholders' Annual General Meeting No. 7 for approval. 2. The Annual General Meeting No. 7 be held on April 12, 2000 at 3.00 p.m. at Monthathip Room, Radisson Hotel Bangkok. No. 92 Soi Saengcham, Rama 9 Road, Huay Kwang, Bangkok 10320. 3. The Company's share register book be closed on March 23, 2000 at 12:00 hours until the Annual General Meeting No. 7 was over so that the Company could determine the right of the shareholders who would be entitled to attend the Annual General Meeting No. 7 and to receive dividend to be declared by the Company. 4. The Company subscribe the newly issued shares of Makro Auto Care Co., Ltd in which 99.99% shares are being held by Siam Makro Plc. Makro Auto Care Co., Ltd offered 20 million newly issued shares at 10 baht each, totalled 200 million baht. Payment is called for in full value. The new registered capital of Makro Auto Care Co., Ltd. will be 500 million baht. Siam Makro Plc maintain its shareholding of 99.99% in the company. The subscription of new shares will allow Makro Auto Care Co., Ltd to have the appropriate capital structure for the existing size of business and enable it for future expansion as well as repaying debts owed to Siam Makro Plc on assets purchased. The aforementioned transaction is not governed by the rules for the acquisition, disposition of listed company's assets and connected transaction of Stock Exchange of Thailand.
